Corporate Governance Director

The company’s Board of Directors approved that appointing the financial and accounting manager as the corporate governance manager on March 13, 2020. In order to coordinate the corporate governance culture and policies within the group, a dedicated corporate governance manager was established for the group. This appointment was approved by the Board of Directors on November 2, 2023. Ms. Mao Ting-Fang was appointed as the dedicated corporate governance manager for the group and assumed the role of corporate governance manager for the company. She possesses over three years of experience in managing responsibilities related to corporate governance matters in public listed companies, including board and shareholder meeting affairs. She collaborates with the financial and accounting department in overseeing corporate governance-related affairs.

The main duties are holding the meetings of the Board of Directors and the shareholders’ meetings in accordance with the law, and preparing minutes of them; To provide materials for directors to perform their duties, to assist the directors to refresher their professional education, and to assist the directors comply with laws and regulations.

The matters related to corporation governance in 2025 are listed below:

  1. To matters related to the meetings of the Board of Directors and the shareholders’ meetings in accordance with the law.
  2. To prepare minutes of the meetings of the Board of Directors and shareholders’ meetings.
  3. To release the material information on the important resolutions of the Board of Directors and the shareholders’ meetings, ensure that such information are legal and accurate and guarantee the trading information symmetry for investors.
  4. To assist the director to refresher their professional education.
  5. To provide materials for directors to perform their duties.
  6. To assist the directors comply with laws and regulations.

According to the Article 24 of Taiwan Stock Exchange Corporation Operation Directions for Compliance with the Establishment of Board of Directors by TWSE Listed Companies and the Board’s Exercise of Powers, A TWSE listed company shall arrange continuing professional education (CPE) for its chief corporate governance officer. A newly appointed chief corporate governance officer shall complete a minimum of 18 CPE hours within the year from the person’s appointment.
